Add-on Services Terms
These additional terms and conditions (“Add-on Services Terms”) shall govern the purchase and redemption of Add-on Service Credits by Client and the delivery of the Add-on Services provided by Supplier to Client.
These Add-on Services Terms are subject to and incorporated by reference into the terms of the Software as a Service (SaaS) Terms and Conditions (“SaaS T&Cs”) entered into by Client and Supplier.
Any capitalised terms used in these Add-on Services Terms shall have the meaning given to such terms in the SaaS T&Cs unless otherwise defined in Section 1.1.
These Add-on Services Terms were last updated on 5 August 2026.
1. DEFINITIONS AND INTERPRETATION
1.1 In these Add-on Services Terms, the following terms shall have the following meaning:
- “Add-on Service Request” means a request by Client to redeem Add-on Service Credits in exchange for certain Add-on Service(s);
- “Artis Support Portal” means Supplier’s online support portal; and
- “Business Hour” means an hour during a Business Day.
1.2 References to Sections are to sections of these Add-on Services Terms.
2. ADD-ON SERVICES CATALOGUE
2.1 Supplier shall make available the Add-on Services Catalogue via the Artis Support Portal, setting out the available Add-on Services and the number of Add-on Service Credits required to receive each Add-on Service.
2.2 Supplier may amend the Add-on Services Catalogue from time to time (without notice and at Supplier’s sole discretion), including removing certain Add-on Services, provided that any such changes do not materially reduce the range of Add-on Services available to Client in exchange for Add-on Service Credits.
2.3 Supplier does not guarantee that the Add-on Services Catalogue will always be available to Client or that access to it will be uninterrupted. Supplier will not be liable if for any reason the Add-on Services Catalogue is unavailable. However, if Client notifies Supplier that it cannot access the Add-on Services Catalogue, Supplier will use reasonable endeavours to make the content of the Add-on Services Catalogue available to Client by alternative means, e.g. via telephone support and/or email.
3. REDEMPTION OF ADD-ON SERVICE CREDITS
3.1 Client may use Add-on Service Credits only in exchange for the Add-on Services listed in the Add-on Services Catalogue. Add-on Service Credits shall be non-refundable, non-transferable and may not be exchanged for any monetary compensation or for any services other than those listed in the Add-on Services Catalogue.
3.2 To redeem Add-on Service Credits, Client shall notify Supplier of an Add-on Service Request via email or the Artis Support Portal at any time provided that the Add-on Service Request is made no later than 30 days prior to the end of the then-current Initial Subscription Term or Renewal Subscription Term (as applicable).
3.3 Supplier will acknowledge receipt of each Add-on Service Request within 2 Business Days. The Add-on Service Request shall not create any binding obligation on Supplier to deliver the relevant Add-on Service(s) until the Parties have agreed the timescales for delivery in accordance with Section 4.1.
3.4 All Add-on Service Credits which are not redeemed by the end of the Initial Subscription Term or Renewal Subscription Term (as applicable) in which they were purchased shall automatically be forfeited without compensation, refund or any other entitlement. Client shall not be permitted to roll over any unused Add-on Service Credits to the following Renewal Subscription Term.
3.5 Where Client has signed an Order Form with a Subscription Term of at least 3 years and the parties agree that the onboarding (and/or integration) activities required to set up the Artis Services will be complex, to support such activities Supplier may permit Client on a one‑time only basis to consume in the Initial Subscription Term up to 50% of the Add-on Service Credits purchased for the first Renewal Subscription Term. Any Add-on Service Credits advanced from the first Renewal Subscription Term shall be deducted from Client’s allocation of Add-on Service Credits for that Renewal Subscription Term.
4. DELIVERY OF ADD-ON SERVICES
4.1 Following receipt of the Supplier’s acknowledgement of the Add-on Service Request, the Parties shall agree in writing timescales for the delivery of the requested Add-on Service(s).
4.2 The timing of delivery of the requested Add-On Services shall be subject to the Supplier’s reasonable availability, and nothing in the Agreement shall oblige the Supplier to commit to any particular delivery date(s) or schedule.
4.3 If, after the Parties have agreed the timescales for delivery of the Add-on Services in accordance with Section 4.1, Client wishes to change such timescales or cancel the delivery, Client shall notify Supplier of such request via email or the Artis Support Portal and the timing of Client’s notice will impact Client’s allocation of Add-on Service Credits as follows:

4.4 Supplier shall use reasonable endeavours to provide the Add-On Services as described in the Add-on Services Catalogue and meet the timescale(s) for delivery agreed with Client but any time for performance by Supplier shall not be of the essence.
4.5 All Add-on Services shall be delivered remotely, unless otherwise stated in the Add-on Services Catalogue.
4.6 The description of the Add-on Services in the Add-on Services Catalogue may specify that delivery of the Add-on Services is subject to Client’s performance of certain obligations either prior to or in conjunction with Supplier’s delivery of the Add-on Services. In requesting delivery of any Add-on Services, Client acknowledges and agrees that it shall perform all obligations which apply to Client as specified in the Add-on Services Catalogue. Further, Client shall cooperate with Supplier and provide any other assistance reasonably required by Supplier in connection with the delivery of the Add-on Services.
4.7 Client acknowledges that Supplier’s ability to deliver any Add-On Services as described in the Add-on Services Catalogue and within the timescale(s) agreed by the Parties is contingent upon the Client’s performance of its obligations and Client’s cooperation and provision of reasonably required assistance in accordance with Section 4.6.
5. WARRANTIES
5.1 Supplier represents and warrants that: (i) it has the right, power and authority to supply the Add-on Services to Client; and (ii) it will comply with all laws and regulations applicable to Supplier’s provision of the Add-on Services.
5.2 Supplier warrants to Client that: (i) the Add-on Services will materially comply with their description set out in the Add-on Services Catalogue; and (ii) Supplier will provide the Add-on Services with reasonable care and skill.
6. INTELLECTUAL PROPERTY
6.1 All Intellectual Property Rights in the Add-on Services and any modifications or enhancements thereto shall belong to and remain the property of Supplier and/or its third party licensors.
6.2 Subject to payment by Client of the Fees and the terms of the Agreement, Supplier grants to Client a worldwide, non-exclusive, non-transferable, non-sublicensable and revocable right during the Subscription Term for Client and its Authorised Users to use the Add-on Services for Client’s internal business purposes. On termination or expiry of the Order Form for any reason the licence to use the Add-on Services shall immediately cease.
6.3 Supplier and its licensors reserve any and all rights (including Intellectual Property Rights) in and to the Add-on Services (including any deliverables) other than the limited licence rights expressly granted in these Add-on Services Terms.
7. TERMINATION OF ADD-ON SERVICE CREDITS
7.1 Either Party may terminate Client’s allocation of Add-on Service Credits by giving no less prior notice to the other Party than is required to give notice of non-renewal of the Agreement, with such termination to take effect from the end of the then-current Initial Subscription Term or Renewal Subscription Term (as applicable). Such termination shall not affect Client’s subscription to the Artis Services or any other service as specified in the applicable Order Form.
